The following Terms and Conditions govern the use of GeniusVets’ Content Submission channels, including but not limited to Blog Network submissions and Video Transcription Service submissions.
By submitting content to GeniusVets platforms, Client acknowledges that GeniusVets is providing a Service to publish and syndicate this content, and that in exchange for this valuable service, GeniusVets receives certain perpetual rights in the content. These rights are required in order for GeniusVets to provide the Services.
As used herein, "Client" shall refer to any persons or companies involved in the creation and submission of the Content, including but not limited to: persons appearing in videos; persons providing text or audio content; or videographers or photographers whose work is included in the Content.
By submitting or uploading any content (including text, video, or links to content) through the Video Transcription and Content Network Submission Form or GeniusVets Blog Library Submission (hereinafter the “Content”), Client acknowledges and agrees that:
- By submitting such Content, Client is attesting that Client is the creator of the Content and all images, video and text contained in it; that Client is the sole owner of the copyright in the Content; and that Client is not subject to any license limitations or other intellectual property agreements related to the Content that would prevent Client from agreeing to these Terms. Client assumes all responsibility for any copyright or trademark infringement which may be alleged by any third party; and Client will indemnify and hold harmless GeniusVets, its employees and partners from any claim of copyright infringement resulting from Client's content.
- Client grants GeniusVets, under all of Client's intellectual property rights in and to the Content, a perpetual, unlimited, transferable, non-exclusive, royalty-free license to use, copy, publicly perform and display, create derivative works of, have derivative works created of the Content, for any and all purposes which are aligned with GeniusVets’ business model now or in the future. This includes syndicating the Content to the websites of other GeniusVets clients; posting the Content to GeniusVets.com; or distributing the content via social media and other websites.
- In the future, should Client desire to revoke such license, Client’s ability to do so will be at the sole discretion of GeniusVets.
- Due to the nature of the Internet, in the event that GeniusVets and Client agreed to remove some Content, it may not be possible to fully remove such Content from all sites where it may be shared or reposted, and Client acknowledges that GeniusVets shall have no liability for such deletion or removal.
- Client will receive no additional compensation for usage of the Content other than the Services provided by GeniusVets related to that content, such as transcription, posting, and syndication to additional sites.
- As GeniusVets clients have discretion over what content they choose to syndicate, GeniusVets cannot guarantee any specific distribution or audience reach for the Content.
- GeniusVets will make every effort to ensure that Client is properly acknowledged as the source of the Content in any locations where the Content is deployed. In the event that such attribution is found to be missing, GeniusVets’ obligation will be limited to correcting such error in a timely fashion (within 30 days of notification) if the error is on a GeniusVets-controlled platform. If the Content is on a platform not controlled by GeniusVets, GeniusVets’ obligation is limited to notifying the appropriate parties and requesting that such platform properly attribute the Content.
- GeniusVets reserves the right to choose what content will be made available for syndication, and to make the necessary revisions to the Content to make it appropriate for broad usage. This includes, but is not limited to, removing specific information about Client’s business that would not be appropriate if syndicated to another client’s website.
- GeniusVets shall have no liability for any purported damages that may result from Client’s Content being published to, or removed from, GeniusVets.com or other websites or social media platforms, including but not limited to loss of business, damage to reputation, incidental, consequential or special damages.
